All investments carry risk. Past performance is not indicative of future results. You should carefully consider your risk tolerance and financial situation before making any investment decision. You are responsible for taking reasonable precautions to prevent fraudulent activities in connection with your account and our services. Adwise Capital Sdn. Bhd. is a licensed Financial Adviser approved by Bank Negara Malaysia and operates in full compliance with the Financial Services Act 2013 (FSA), the Anti-Money Laundering and Anti-Terrorism Financing Act 2001 (AMLA), the Personal Data Protection Act 2010 (PDPA), and all other applicable laws, regulations, and guidelines issued by relevant Malaysian authorities.
As a regulated entity, we are required to conduct due diligence on all clients, including identity verification, source of funds verification, and ongoing transaction monitoring. You agree to provide all information and documentation reasonably requested by us to fulfil our regulatory obligations. Failure to provide such information may result in our inability to provide Services to you or the suspension of your account.
We reserve the right to refuse to provide Services, process transactions, or maintain a client relationship if, in our reasonable opinion, doing so would violate applicable laws, expose us to regulatory risk, or be inconsistent with our regulatory obligations. We further reserve the right to report any suspicious transactions or activities to Bank Negara Malaysia's Financial Intelligence and Enforcement Department (FIED) as required under AMLA.
You are solely responsible for complying with all tax laws and regulations applicable to you, including the filing of tax returns and the payment of taxes on income, gains, or other amounts arising from your financial transactions and investments. We do not provide tax advice unless we are separately engaged to do so under a specific engagement letter or Advisory Agreement.
We may be required to report certain information to the Inland Revenue Board of Malaysia (LHDN) or other tax authorities under applicable laws, including the Common Reporting Standard (CRS) and the Foreign Account Tax Compliance Act (FATCA). You agree to provide us with all information and documentation necessary to comply with our tax reporting obligations, including tax residency information and self-certification forms.
Where we provide tax planning as part of our financial planning services, such advice is based on our understanding of current tax laws and practices, which are subject to change, potentially with retrospective effect. We recommend that you seek independent tax advice from a qualified tax professional for matters specific to your tax situation.
Either party may terminate the client-adviser relationship and close your account with us by providing written notice to the other party in accordance with the notice period specified in your Advisory Agreement, or if no notice period is specified, at least thirty (30) days' prior written notice. Upon termination, you agree to settle all outstanding fees and charges due to us up to the effective date of termination.
Upon account closure, we will take steps to transfer or return any assets, funds, or documents held on your behalf, subject to the satisfaction of any applicable conditions, fees, or charges and compliance with legal and regulatory requirements. Outstanding transactions at the time of closure will be completed before final account settlement.
Termination of your account does not relieve you of any obligations that have accrued prior to the effective date of termination, including payment of fees for Services already provided. Provisions of these Terms that by their nature should survive termination, including but not limited to intellectual property provisions, limitation of liability, governing law, and dispute resolution, shall survive the termination of your account.
We reserve the right to terminate or suspend your access to our Website and Services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms, fraudulent or illegal activity, conduct that we determine to be harmful to other clients or third parties, failure to cooperate with regulatory compliance requirements, or if we determine in our sole discretion that continuing to provide Services would violate applicable laws or regulations.
Upon termination, your right to use our Website and Services will immediately cease. You shall (a) cease all use of our Website, (b) return or destroy any confidential information belonging to us, and (c) pay all outstanding amounts due to us. Termination does not affect any rights or obligations that have accrued prior to the effective date of termination.
Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 6 (Intellectual Property), 8 (Disclaimers and Warranties), 9 (Limitation of Liability), 10 (Fraud Liability), 15 (Governing Law and Dispute Resolution), and 17 (General Provisions).
These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions. Any dispute, controversy, claim, or difference of any kind whatsoever arising out of or in connection with these Terms, our Website, or our Services, including any question regarding their existence, validity, or termination, shall be resolved in accordance with this section.
The parties shall first attempt to resolve any dispute through good faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit the dispute to mediation at the Malaysian Mediation Centre ("MMC") in accordance with the MMC Mediation Rules in effect at the time of the mediation. The mediation shall be conducted in the English language and held in Kuala Lumpur, Malaysia. Each party shall bear its own costs of mediation.
If the dispute cannot be resolved through mediation within sixty (60) days of the commencement of mediation, or if either party declines to participate in mediation, the dispute shall be referred to and finally resolved by the courts of Malaysia. The courts of Kuala Lumpur, Malaysia shall have exclusive jurisdiction to settle any disputes arising out of or in connection with these Terms.
We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page. For material changes, we will provide notice through one or more of the following methods: posting a prominent notice on our Website, sending an email notification to the address associated with your account, or requiring you to acknowledge and accept the updated Terms before continuing to use our Website or Services.
Changes that we consider material include any modification that affects your legal rights or obligations under these Terms, changes in the scope or nature of our Services, and changes in fees or payment terms. We will provide at least fourteen (14) days' notice before material changes take effect, unless changes are required by law or regulatory requirement, in which case a shorter notice period may apply.
Your continued use of our Website or Services following the effective date of any changes to these Terms constitutes your acceptance of the updated Terms. The parties agree to substitute an enforceable provision that, to the maximum extent possible under applicable law, approximates the economic and legal intent of the severed provision.
Entire Agreement. These Terms, together with our Privacy Policy, Cookie Privacy Policy, and any signed Advisory Agreement, constitute the entire agreement between you and Adwise Capital regarding your use of our Website and Services, superseding any prior agreements, understandings, representations, or communications, whether oral or written, relating to the subject matter.
Waiver. No failure or delay by us in exercising any right or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right or remedy preclude any other or further exercise thereof or the exercise of any other right or remedy. Any waiver must be in writing and signed by an authorised representative of Adwise Capital.
Assignment. You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent. We may assign, transfer, or delegate our rights and obligations under these Terms to a third party without your consent in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of our assets, provided that such third party agrees to be bound by these Terms.
Force Majeure. We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, pandemic, government action, regulatory change, natural disaster, fire, flood, storm, earthquake, telecommunications failure, power outage, or failure of third-party systems or services.
